Each project will be governed by a separate service agreement that outlines:

• Pricing and payment terms

• Client responsibilities

4.2 Client Responsibilities

Clients are responsible for:

5. Payment Terms

5.1 Pricing

Pricing for services will be specified in individual project agreements. All prices are in Canadian dollars unless otherwise specified.

• A deposit may be required before work begins
• Remaining balance is due upon project completion

6. Intellectual Property

6.1 Client Content

Upon full payment, clients will own the rights to the final deliverables created specifically for their project, excluding any pre-existing intellectual property of Unpeodiffa.

6.2 Company Property

Unpeodiffa retains ownership of:

• Our methodologies, processes, and templates
• Pre-existing intellectual property
• Work samples for portfolio purposes (with client consent)
• General knowledge and experience gained

6.3 Portfolio Rights

We reserve the right to use completed work in our portfolio and marketing materials unless otherwise agreed in writing.

7. Confidentiality

We respect client confidentiality and will not disclose sensitive business information without consent. Clients may request a separate Non-Disclosure Agreement (NDA) for additional protection.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for results achieved from using our deliverables
• Clients use our services at their own risk

9. Warranties and Disclaimers

9.1 Service Quality

We warrant that our services will be performed with professional skill and care consistent with industry standards.

9.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee specific business results or outcomes.

10. Termination

10.1 Termination by Client

Clients may terminate services with written notice. Payment will be due for work completed up to the termination date.

10.2 Termination by Company

We may terminate services if:

• Payment is overdue
• Client breaches these Terms
• Project requirements change significantly
• Professional relationship becomes untenable

11. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

12. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Toronto, Ontario.

13. Dispute Resolution

We encourage resolving disputes through direct communication. If necessary, disputes may be resolved through mediation before pursuing legal action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
